BY LAWS OF THE FENDALL COMMUNITY CLUB
ADOPTED 2-5-83
SECTION I: MEMBERSHIP
Any person, 18 years of age or older, who subscribes to the purpose and aims of the Club and who has attended at least 3 business meetings during a year and has received a majority vote of approval, shall be entitled to membership in the Fendall Community Club.
SECTION II: DUES
There shall be an initial entrance fee of $1.00 per person per year. Voluntary contributions to the Club will be accepted for the purpose of carrying on its activities. Each member will be required to perform 20 hours of voluntary work time per year contributed to the hall. The secretary will keep records of volunteer hours worked.
SECTION III: DEFINITIONS
Active Members: Those who attend at least 3 business meetings per year.
Business Meeting: Any meeting where the club Business is discussed.
Quorum: Minimum number of members required to be present at a meeting before it validly can proceed to transact business.
Members, who, because of physical disabilities are unable to attend the required number of regular business meetings will be classified as Active Members.
SECTION IV: ADMINISTRATION
The administration of the Fendall Community Club shall be composed of President, Vice President, Secretary-Treasurer and one member of the Board of Trustees.
SECTION V: DUTIES
The President shall chair all regular meetings, and those of the Board of Trustees-appoint committees-direct activities for the operation of the Club.
The Vice-President shall, in the absence of the President, assume these duties.
The Secretary-Treasurer shall keep minutes of all regular and Board Meetings, and account for all monies received and expended for Club Activities, and to deposit funds of the organization in such bank as the Trustees may direct. Further, the Secretary-Treasurer shall maintain all correspondence and apply for, and complete all forms necessary for the operation of the Club.
The Board of Trustees shall be an advisory council for the membership.
SECTION VI: BOARD OF TRUSTEES
The Board of Trustees shall be composed of the President, Vice President, and one member at large elected from and by the members.
The President shall chair all meetings of the Board. The Secretary-Treasurer shall act as secretary at all meetings of the Board.
SECTION VII: TERMS OF OFFICE
The President shall serve for only one 2 year term, but shall be eligible for that office following the interim term. The Vice President/Secretary-Treasurer and the member of the Board of Trustees may succeed their office. If any officer leaves office during their term, the President or Vice President shall appoint a member to assume the duties of the vacated office.
SECTION VIII: QUORUM
Ten (10) members are necessary to constitute a quorum at any Special or Regular meeting. All members of the Board of Trustees are necessary to constitute a quorum.
SECTION IX: VOTING
All ACTIVE members over the age of 18 years shall be entitled to vote. A simple majority vote is necessary to approve or disapprove matters.
SECTION X: PARLIAMENTARY PROCEDURE
All meetings of this club shall be governed by Robert’s Rules of Order or such other rules as the membership may adopt by motion.
SECTION XI: BIENNIAL MEETING
A biennial meeting of the members of the Fendall Community Club shall be held at 8:00 PM on the first Saturday in OCTOBER of each off dated year for the purpose of electing officers and trustee of the club and for the transaction of such other business as may be brought before the members present. Such officers shall be installed in office in Oct. It is recommended that the Secretary cause notice to be given to each member at least one week prior to the biennial meeting, but lack of such notice shall not affect the validity or purpose of the meeting.
SECTION XII: ALL MEMBERSHIP MEETINGS
There shall be a meeting of the members of the Fendall Community Club once each month from October through June of each year, at such time as the members may determine by motion.
SECTION XIII: SPECIAL MEETINGS
Special meetings of the members may be called by the President or by petition signed by 5 members, provided that notification of all active members will be given at least 8 hours prior to such meeting.
SECTION XIV: BOARD OF TRUSTEES MEETING
Any member of the Board of Trustees may call for a meeting thereof by giving notice to each member of the Board within a reasonable time before such meeting.
SECTION XV: BY-LAW CHANGES
The by-laws of this club may be changed by a simple majority vote of the quorum present at any such meeting as may be called for that purpose.
SECTION XVI: HALL RENTAL
The person in charge of renting the Fendall Hall may do so at their discretion after the determination that the applicant is a responsible person and that the hall will be used for moral purposes, and that they will adhere to the rules of conduct and care of the hall. ACTIVE members will be entitled to free use of the hall once yearly/ there-after they shall pay the current rate of charge. INACTIVE members shall pay at the current rate of charge for any hall rental. Specified organizations shall be voted upon for approval of free use of the hall. These organizations will be noted in the minutes.
